Important Risk & Status Notice

Signal Swap is a non-custodial technology platform. We do not provide investment advice, portfolio management, or brokerage services. Trading (especially crypto) involves substantial risk, including total loss. Your exchange/broker statements are the authoritative record; our logs and dashboards are best-effort and may lag or be incomplete.

1. Parties, Acceptance, and Scope

These Terms of Service ("Terms") are a contract between Trade Tactics Algo Limited ("Signal Swap," "we," "us," "our") and any individual or entity who accesses or uses our websites, apps, APIs, or services (the "Platform"). By creating an account, clicking "I agree," or using the Platform, you accept these Terms. If you do not agree, do not use the Platform. These Terms incorporate our Privacy Policy, feature-specific rules, the Creator Agreement (for publishers), and posted documentation. If there is a conflict, these Terms control unless a signed agreement says otherwise.

2. What Signal Swap Is (and Is Not)

Crypto-Only Platform: Signal Swap is designed exclusively for cryptocurrency trading. We do not support, and you may not use the Platform for, trading of:

SEC Status: We are not registered as a broker-dealer with the U.S. Securities and Exchange Commission (SEC) and do not provide brokerage services. We rely on the position that Bitcoin, Ethereum, and similar decentralized cryptocurrencies are not securities under current SEC guidance.

Altcoin Risk: The SEC has indicated that some crypto assets may be securities. We do not provide legal advice on which assets are securities. You are solely responsible for determining whether your trading activity involves securities and complying with applicable securities laws.

No Investment Advice: Marketplace signals, performance metrics, and leaderboards are informational only. We do not recommend, endorse, or provide investment advice regarding any specific crypto asset or trading strategy.

2.4 Backtesting Service - Terms & Disclaimers

What Backtesting Is: Our backtesting service allows you to upload trading strategies (Pine Script or other supported formats) and test them against historical market data to generate hypothetical performance metrics (returns, drawdown, win rate, Sharpe ratio, etc.).

Computational Simulation Only: Backtest results are purely computational and do not represent actual trading. They are subject to significant limitations:

CRITICAL WARNING: A strategy that performs well in backtesting may lose money in live trading. Backtest results are NOT predictive of future performance. Many strategies with excellent backtests fail immediately when deployed live due to execution realities, changing market conditions, or overfitting.

Computational Limits & Job Execution:

Script Ownership & License: You retain ownership of your uploaded Pine Scripts and trading strategies. By uploading, you grant Signal Swap a non-exclusive, worldwide license to execute, process, analyze, and store your scripts solely for the purpose of providing the backtesting service. We will not redistribute or sell your proprietary scripts to third parties. However:

Third-Party Data Providers: Historical market data used in backtesting may be sourced from:

Data Quality Disclaimers: We do not control or verify the accuracy, completeness, or timeliness of third-party data. Known limitations include:

Data Licensing Restrictions: Some data providers impose restrictions on commercial use, redistribution, or display. By using backtesting, you agree not to:

Provider Outages: If a data provider experiences downtime, backtests may fail or return incomplete results. We will notify users via dashboard alerts when known data issues exist. No refunds for computational credits consumed by failed backtests due to data provider issues.

2.5 Paper Trading & Demo Mode Disclaimers

Simulated Environment: Demo/testnet modes use exchange-provided sandbox environments with simulated funds (not real money). Orders placed in demo mode do not interact with live markets.

Performance Not Indicative: Demo results are highly unreliable for predicting live performance because:

No Guarantee of Transition: A strategy that performs well in demo mode may fail catastrophically in live trading. Always start with small position sizes when transitioning to live.

Demo Exchange Availability: Demo exchanges are operated by third parties (not Signal Swap). They may experience:

No Guarantee of Demo Availability: We do not guarantee demo exchanges will remain available. If a testnet is discontinued by the provider, we will remove it from Signal Swap and notify affected users.

Demo Account Registration: Some testnets require you to register a separate testnet account directly with the exchange (e.g., Bybit Demo requires testnet.bybit.com registration). Instructions provided in-app.

Data Retention: Demo trade data may be retained for your analysis but is clearly labeled as "Demo" in dashboards. We may delete demo data after 90 days of account inactivity.

3. Accounts and Registration

You must be 18+ to register. Keep credentials confidential; enable 2FA; notify us immediately of unauthorized access. Your account is personal to you; do not share it.

3.1 Identity Verification (KYC)

We may require you to complete identity verification ("Know Your Customer" or KYC) before you can:

KYC Providers: We use third-party identity verification services (Jumio, Onfido, Persona, or similar) operating under data processing agreements. See Privacy Policy for details.

Account Limits:

Refusal to Verify: If you refuse to complete KYC when requested, we may suspend or terminate your account. No refunds for unused subscription time.

3.2 Two-Factor Authentication (2FA)

We strongly recommend enabling 2FA to protect your account from unauthorized access.

Supported 2FA Methods:

When 2FA is Required: After login, you'll be prompted for a 2FA code if enabled. You may also be required to provide 2FA for:

Lost 2FA Device - Account Recovery: If you lose access to your 2FA device:

  1. Use backup codes provided when you enabled 2FA (save these securely!)
  2. If no backup codes, contact support@signalswap.io with:
    • Registered email address
    • Government-issued photo ID matching account name
    • Details of recent account activity (to verify ownership)
  3. Recovery process takes 3-5 business days for identity verification
  4. During recovery, account access is suspended (to prevent unauthorized recovery attempts)

2FA Reset Without ID Verification: We cannot reset 2FA without identity verification. If you cannot provide ID, you will permanently lose access to the account. No exceptions (security policy).

4. Restricted Persons and Locations

4.1 U.S. Regulatory Status & Money Transmitter Compliance

Non-Custodial Model: We do not custody, hold, or have access to your assets. Your exchange API keys are used solely to submit orders you authorize. However, because we coordinate order transmission, we may be subject to certain MSB obligations under federal law.

Anti-Money Laundering (AML) Compliance: To the extent required by law, we maintain an AML compliance program, including:

User Obligations: You agree to provide accurate identity information if requested and acknowledge that we may suspend or terminate service if you are subject to sanctions or if we detect patterns consistent with money laundering, terrorist financing, or other illegal activity.

State Licensing: We [have obtained / are obtaining] money transmitter licenses in states where required. Service may be restricted in certain states pending licensing.

4.2 Geofencing & Sanctions Compliance

You may not use the Platform if prohibited by law or sanctions (e.g., OFAC SDN, EU/UK lists). We may block or geofence features to comply with sanctions, UK financial promotions rules, EU/UK MAR, MiCA-style crypto restrictions, or other regional requirements.

Geofencing Mechanism: We determine your location using:

VPN/Proxy Detection: Using VPNs, proxies, or other tools to circumvent geofencing restrictions violates these Terms and may result in immediate account termination without refund.

Dynamic Restrictions: Feature availability may change based on evolving regulations. Examples:

No Circumvention: You represent that you are not using technical measures to misrepresent your location. We may request proof of residency if we detect inconsistencies.

5. User Responsibilities

You are solely responsible for:

You agree to continuously monitor and verify that automation behaves as you intend. At minimum you will:

6. Connecting Exchanges and API Keys (Crypto)

You may connect your own exchange account(s) via API keys.

6.1 Required Permissions & Withdrawal Restrictions

Required Permissions:

Withdrawal Permissions PROHIBITED: For your security, API keys with withdrawal permissions are automatically rejected. Rationale:

Scope Validation: We periodically re-validate API key scopes:

If withdrawal scope is detected, we will:

  1. Suspend the connected exchange immediately
  2. Notify you via email and dashboard alert
  3. Require you to generate a new API key without withdrawal scope before resuming

IP Allow-Listing (Recommended): Where supported by your exchange (e.g., Binance, Bybit), configure IP allow-lists to restrict API key usage to Signal Swap's egress IPs:

This adds an extra layer of security in case your API key is compromised.

7. Marketplace (Creators & Subscribers)

7.1 Venue Nature; No Endorsement

The Marketplace is a technology venue where independent creators ("Creators") publish impersonal signals/strategies for subscribers. Listings, leaderboards, charts, or performance visuals are informational and are not endorsements, promises, guarantees, or recommendations by Signal Swap. You are solely responsible for your trading decisions.

7.2 Banned Phrases & Prohibited Marketing

Creators must not use or imply: "guaranteed," "risk-free," "never loses," "can't go wrong," "perfect for small accounts," "inside info," "get rich," or any statement implying certainty, advice, or suitability. No personalized suitability claims or targeted inducements (e.g., "ideal for $1k accounts"). We may expand this list in documentation and enforce without notice.

7.3 Performance Labels, Methods & Verification

Labels: Each display must be clearly labeled as:

Methodology: Show fee/slippage assumptions, fixed lookback windows, and calculation methods. No retroactive edits, cherry-picking, or survivorship bias.

Verification Badge Process:

  1. Application: Creator requests verification via dashboard and connects read-only exchange/broker API key (Read/Query scope only - no trading permissions).
  2. Data Collection: We retrieve:
    • Historical trade fills (entry/exit prices, timestamps, fees)
    • Position history
    • Account balance snapshots (to verify capital at risk)
  3. Matching Algorithm: Automated system compares:
    • Marketplace-claimed signals vs actual exchange fills
    • Timing (signals must precede fills by reasonable margin)
    • Quantities (fills must match or be proportional to claimed sizes)
    • Performance metrics (returns, drawdown, win rate)
  4. Review Timeline: Initial verification typically completes within 3-5 business days. Complex cases (manual review required) may take up to 10 business days.
  5. Badge Issuance: If ≥95% of signals match fills within tolerance thresholds (timing ±30 seconds, price ±0.5%, quantity ±10%), badge is granted.

  1. Submit appeal via support@signalswap.io within 14 days
  2. Provide explanation and supporting evidence (e.g., exchange API maintenance logs)
  3. We will review within 5 business days
  4. Decision is final; no further appeals

Verification Data Retention: Read-only fill data retained for 90 days rolling window for active badges. After badge revocation/removal, data deleted within 30 days unless required for dispute resolution or compliance.

Disclosures: "Past performance is not indicative of future results."

7.4 Conflicts of Interest Disclosure

Creators must disclose material conflicts (e.g., they or affiliates trade the strategy; they receive referral revenue; they hold assets in the strategy). "House strategies" (by Signal Swap or affiliates) will carry conflict labels.

7.5 Takedown & Moderation

We may edit, label, rate-limit, or remove content and suspend or terminate accounts that:

7.6 Subscriber Acknowledgments

Signals are impersonal and informational. For securities, you must place orders at your broker. For crypto, if you enable auto-execution, orders are submitted per your risk controls and may fail, delay, or partially fill.

7.7 Platform Subscription Tiers & Feature Access

Free Tier: Available to all registered users at no cost. Includes:

Paid Tiers (Basic/Premium/Enterprise): Unlock live trading, marketplace subscriptions, Creator publishing, advanced analytics, and higher computational limits. See pricing page for current features and pricing.

Trial Periods: We may offer free trials of paid tiers (14 or 30 days). Trial terms posted at time of signup. After trial expires, account reverts to Free Tier unless you upgrade.

Upgrades/Downgrades:

Educational/Non-Profit Discounts: We may offer discounted or complimentary access to students, educators, or non-profits. Contact support@signalswap.io to apply. Approval at our sole discretion.

7.8 Tax Obligations for Creators (U.S.)

Taxable Income: Revenue you earn from bot subscriptions is taxable income in most jurisdictions. You are solely responsible for reporting and paying taxes on Creator earnings.

U.S. Tax Reporting (Form 1099): If you are a U.S. person (citizen or resident) and earn $600 or more in a calendar year, Signal Swap is required to:

Providing Tax Information: You must submit a W-9 form via the Creator dashboard before receiving payouts. Failure to provide accurate tax information may result in:

Non-U.S. Creators: Non-U.S. Creators may need to provide Form W-8BEN (individuals) or W-8BEN-E (entities) to claim tax treaty benefits and avoid withholding. Consult a tax professional in your jurisdiction.

FTC Disclosure Requirements (U.S. Affiliates): Under FTC 16 CFR Part 255, affiliates must clearly and conspicuously disclose their material connection to Signal Swap when promoting the Platform. Examples:

Violation of FTC rules may result in termination and forfeiture of unpaid commissions.

Program Changes & Termination: We may modify commission rates, eligibility, or terminate the program at any time with 30 days notice. Unpaid commissions earned before termination will be paid per normal schedule.

Referral Tracking: We use cookies, referral codes, and attribution metadata to track referrals (see Privacy Section 2.8). Referred users are not charged extra fees due to the referral.

10. Security, Idempotency & Proof Bundles (Crypto)

Backtesting Execution Records: For backtests, we may generate execution logs including:

These logs are stored for operational purposes (see Privacy - retention) and may be used to resolve disputes about backtest accuracy or script behavior. They are not tamper-evident proof bundles (unlike crypto order records) and are subject to routine data lifecycle management.

Backtest Log Integrity: We do not guarantee that backtest logs cannot be altered or deleted (no WORM storage). For critical strategy development, we recommend:

11. Acceptable Use

No unlawful use, sanctions evasion, market manipulation, spam, malware, scraping beyond published API limits, reverse engineering, or geofence circumvention. No API keys with withdrawal scope. We may monitor, rate-limit, throttle, or suspend to protect the Platform.

12. Intellectual Property

The Platform (software, UI/UX, docs, designs, trademarks, proprietary datasets) is owned by Signal Swap and licensed to you on a limited, revocable, non-exclusive basis for personal or internal business use. You retain rights in your original strategy logic/configs. By publishing, you grant us a license to host, process, display, transmit, and promote your listing and derived metadata (including performance visuals) to operate the Platform.

13. Third-Party Services & Links

Exchanges, brokers, clouds, analytics, email/notification services, and other third parties are not controlled by us. We are not responsible for their availability, security, fees, data quality, or actions. Third-party terms apply.

14. Regional & Product-Specific Terms

14.1 European Union (MiCA Compliance)

MiCA Applicability: The EU Markets in Crypto-Assets Regulation (MiCA) applies to crypto-asset service providers offering services to EU residents.

Crypto auto-execution may be regionally limited. We may restrict leverage, instruments, or venues and may disable features to reflect local rules.

14.3 Securities (Signals-Only)

We do not transmit or pre-stage orders. Where content qualifies as an investment recommendation under EU/UK MAR, we attach the Investment Recommendation Disclosures in Annex A.

14.4 UK Financial Promotions

Certain pages/CTAs for UK users may be information-only unless routed via an approved promotions pathway. We may insert gating and warnings or disable subscribe/CTAs accordingly.

14.5 Partnered Execution (Non-Crypto)

If a licensed partner provides execution, that activity is by the partner under its KYC/suitability, books/records, and supervision. Partner terms apply; we are not a party to your brokerage agreement.

15. Warranties, Disclaimers, Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS/IMPLIED), INCLUDING MERCHANTABILITY, FITNESS, NON-INFRINGEMENT, AND NON-INTERRUPTION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIGNAL SWAP AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS/REVENUE/DATA; TRADING LOSSES; MISSED OPPORTUNITY; OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE FEES YOU PAID TO SIGNAL SWAP IN THE THREE (3) MONTHS BEFORE THE EVENT OR USD $100, WHICHEVER IS LESS. Some jurisdictions do not allow certain limits; where prohibited, limits apply to the maximum extent.

16. Indemnification

You will defend, indemnify, and hold harmless Signal Swap and affiliates from any claim, loss, or cost (including reasonable attorneys' fees) arising from: (i) your use of the Platform, (ii) your listings/strategies, (iii) your breach of these Terms or law, or (iv) disputes with exchanges, brokers, subscribers, or creators.

17. Term; Suspension; Termination

We may suspend or terminate for violations, risk to the Platform, fraud, sanctions, nonpayment, or legal demands. You may close your account at any time. On termination, bots halt and access ends. Sections intended to survive (IP, disclaimers, limits, indemnity, disputes) survive.

18. Changes

We may update these Terms; material changes will be notified via Platform/email. Continued use after the effective date constitutes acceptance.
